1. Acceptance of Terms

By accessing and using WarmPledge ("the Platform," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Platform. We reserve the right to modify these Terms at any time, and your continued use of the Platform constitutes acceptance of any modifications.

2. Description of Service

WarmPledge is a crowdfunding platform that connects campaign creators with donors. We provide the technology and infrastructure to facilitate fundraising campaigns but are not a party to any agreement between campaign creators and donors. We do not guarantee the success of any campaign or the legitimacy of any campaign or use of funds.

3. User Accounts and Roles

3.1 Account Creation

To use certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information and to update such information to maintain its accuracy. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.2 User Roles

  • Donors: Users who browse and contribute to campaigns
  • Clients: Users who create and manage fundraising campaigns
  • Admins: Platform administrators with elevated privileges

3.3 Eligibility

You must be at least 18 years old to create an account and use our Platform. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Campaign Guidelines

4.1 Campaign Creation

As a campaign creator, you are solely responsible for the accuracy and completeness of your campaign information. You agree to:

  • Provide truthful and accurate campaign descriptions
  • Set realistic fundraising goals
  • Use funds solely for the stated campaign purpose
  • Respond to donor inquiries in a timely manner
  • Provide updates on campaign progress
  • Comply with all applicable laws and regulations

4.2 Prohibited Campaigns

The following types of campaigns are strictly prohibited:

  • Fraudulent, misleading, or deceptive campaigns
  • Campaigns promoting illegal activities
  • Campaigns involving hate speech, discrimination, or harassment
  • Campaigns for weapons, drugs, or other prohibited items
  • Pyramid schemes, multi-level marketing, or investment opportunities
  • Campaigns violating intellectual property rights
  • Adult content or sexually explicit material
  • Gambling or games of chance
  • Campaigns that violate our community guidelines

4.3 Campaign Review

We reserve the right to review, approve, reject, or remove any campaign at our sole discretion. Approval of a campaign does not constitute an endorsement or guarantee of its legitimacy or success.

5. Donations

5.1 Making Donations

When you make a donation, you agree that:

  • Donations are voluntary and non-refundable unless otherwise specified by the campaign creator
  • You are making a personal donation and not on behalf of a business or organization unless explicitly stated
  • You are using your own payment method or have authorization to use it
  • Payment processing fees will be added to your donation amount

5.2 Tax Deductibility

Donations made through WarmPledge are generally not tax-deductible unless the campaign is run by a registered nonprofit organization. Consult your tax advisor for specific guidance.

5.3 Refunds and Disputes

Refund requests must be directed to the campaign organizer. In cases of fraud or misuse, contact our support team. We may facilitate refunds at our discretion but are not obligated to do so.

6. Fees and Payments

6.1 Platform Fee

WarmPledge charges a 4% platform fee on all funds withdrawn by campaign creators. This fee covers operational costs, fraud prevention, customer support, and platform maintenance.

6.2 Payment Processing Fees

Payment processing fees (2.9% + $0.30 per transaction) are charged by Stripe and added to the donation amount. This ensures campaign creators receive the full donation amount before our platform fee.

6.3 Withdrawals

Campaign creators may request withdrawals at any time. Withdrawal requests are reviewed within 2-3 business days. We reserve the right to hold funds pending investigation of suspicious activity or policy violations.

6.4 Fee Changes

We reserve the right to modify our fee structure with 30 days' notice. Changes will not affect campaigns that have already received donations.

7. Intellectual Property

7.1 Platform Content

The Platform, including its design, features, and functionality, is owned by WarmPledge and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

7.2 User Content

You retain ownership of content you post on the Platform but grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating and promoting the Platform.

7.3 Copyright Infringement

If you believe content on our Platform infringes your copyright, please contact us at legal@warmpledge.com with details of the alleged infringement.

8. User Conduct

You agree not to:

  • Use the Platform for any unlawful purpose
  • Impersonate any person or entity
  • Interfere with or disrupt the Platform's operation
  • Attempt to gain unauthorized access to any part of the Platform
  • Collect or harvest data from other users without permission
  • Post spam, malware, or malicious code
  • Engage in harassment, abuse, or threatening behavior
  • Manipulate or artificially inflate campaign donations
  • Create multiple accounts to circumvent restrictions

9. Disclaimers and Limitation of Liability

9.1 No Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9.2 Campaign Verification

We do not verify the identity of users, the accuracy of campaign information, or the use of donated funds. We are not responsible for the actions or misrepresentations of campaign creators or donors.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WARMPLEDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

9.4 Maximum Liability

Our total liability to you for all claims arising from your use of the Platform shall not exceed the greater of $100 or the amount of fees you paid to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless WarmPledge, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including legal fees, arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

11. Account Termination

11.1 By You

You may close your account at any time by contacting support. You must withdraw any remaining funds and resolve pending campaigns before account closure.

11.2 By Us

We may suspend or terminate your account at any time for violations of these Terms, suspicious activity, or any reason at our discretion. We will attempt to provide notice when reasonably possible but are not obligated to do so.

11.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination shall remain in effect, including intellectual property provisions, disclaimers, and limitation of liability.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a legal claim, you agree to first contact us to attempt informal resolution of any dispute at legal@warmpledge.com

12.2 Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits or class-wide arbitration.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of [Your State], without regard to its conflict of law provisions. Any legal action must be brought in the state or federal courts located in [Your Jurisdiction].

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and WarmPledge regarding your use of the Platform.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it in the future.

14.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
